THEM TO BE BINDING ON YOU, YOU SHOULD PROMPTLY CONTACT OWNER AT 1-800-286-5263
FOR INSTRUCTIONS ON HOW TO RETURN THE UNUSED LICENSED PRODUCTS.
1. License. Subject to the terms of this Agreement and payment of the applicable license fee, which is a
percentage of the price paid by you for the Licensed Products, Owner hereby grants you a limited,
nonexclusive, personal, and nontransferable license for use of the Licensed Products. A separate license
is required for each additional user of the Licensed Products.
2. Confidentiality and Limitations of Use.
2.1 The Licensed Products constitute trade secrets and confidential information of Owner and its licensors.
The foregoing license is for non-business purposes only and ends upon termination of this Agreement. Upon
termination of this Agreement, you shall discontinue use of the Licensed Products and return them to Owner.
2.2 Except as expressly set forth in this Agreement, you may not under any circumstances (1) copy the
Licensed Products; (2) sublicense, distribute, modify, adapt, translate, reverse engineer, decompile,
disassemble, or prepare derivative works, as applicable, based upon the Licensed Products; (3) use or
allow use of the Licensed Products after the termination or expiration of this Agreement (except pursuant
to another valid license); (4) allow others to use, copy, or access the Licensed Products; (5) access, use,
or disclose the Software source code; (6) remove or alter any copyright, patent or other proprietary rights
notices included in or affixed to the Licensed Products; (7) sell, license, disclose, or distribute any product
designed or intended for use with the Licensed Products; or (8) use the Licensed Products in applications
or systems when performance of the Licensed Products or failure of the Licensed Products to perform could
reasonably be expected to result in serious physical injury, loss of life, or material damage to property.
2.3 You may permanently transfer all of your rights under this Agreement only as part of a sale or transfer
of the Licensed Products, provided that you retain no copies of any part or component of the Licensed
Products, you transfer all of the Licensed Products (including all component parts, hardware, software and
upgrades thereof, and documentation), and the recipient agrees to the terms of this Agreement.
3. Ownership.
3.1 The Licensed products are solely owned by Owner and Owner’s licensors. The Licensed Products are
licensed, not sold. The Licensed Products are protected by U.S. and international patent and copyright laws
and treaties, as well as other intellectual property laws and treaties.

3.2 All right, title and interest in the Licensed Products, including any updates or revisions thereto, is and
shall remain the sole and exclusive property of Owner, its licensors, and their successors and assigns.
Other than the limited license explicitly set forth in this Agreement, no interest in or rights or licenses to the
Licensed Products are granted to you, and no interest in or rights or licenses to the Licensed Products shall
inure in or accrue to you, whether by implication, estoppel, or otherwise. All rights of any kind in the Licensed
Products that are not expressly granted in this Agreement are entirely and exclusively reserved to and by
Owner, its licensors, and their successors and assigns.
3.3 No right, title or interest in or to any trademark, service mark, logo or trade name of Owner or its

purpose without the express written consent of Owner. Any such authorized use of Owner’s Marks inures
to Owner’s benefit.
4. Updates; Support. Except as provided below, Owner is not obligated to provide any updates, revisions,
new versions, bug fixes, maintenance, or support for the Licensed Products. Any such materials or services
must be obtained pursuant to a separate agreement.
5. Remedies and Limited Warranty. Owner warrants the Licensed Products will conform to the
manufacturer’s specifications and will be free from defects for twelve (12) months following the original
purchase date (the “Warranty Period”) as set forth in Owner’s Statement of Limited Liability, which is
expressly incorporated herein by reference.
6. Term and Termination.
6.1 This Agreement is effective until terminated. Owner may terminate this Agreement immediately without
notice from Owner if you fail to comply with any provision of this Agreement. Either party may terminate this
Agreement immediately should any of the Licensed Products become, or in either party’s opinion be likely
to become, the subject of a claim of infringement of any intellectual property right.
6.2 Upon termination of this Agreement for any reason, you shall immediately cease all use of the Licensed
Products in any form and immediately return all Licensed Products in your possession or control.
6.3 Except as otherwise stated herein, any provisions in this Agreement that by their sense and context are
intended to survive the termination of this Agreement shall survive such termination. Notwithstanding the
foregoing, any cause of action that Owner may have against you for breach of this Agreement before the
date of termination shall survive such termination.
7. Export Laws. The Licensed Products are subject to U.S. export control laws and may be subject to export
or import regulations in other countries. You agree to comply strictly with all such laws and regulations in

defined at 48 C.F.R. § 2.101, consisting of “commercial computer software” and “commercial computer
software documentation,” as such terms are used in 48 C.F.R. § 12.212 or 48 C.F.R. § 227.7202, as
applicable. Consistent with 48 C.F.R. § 12.212 or 48 C.F.R. §§ 227.7202-1 through 227.7202-4, as
applicable, the commercial computer software and commercial computer’s software documentation are
licensed to U.S. government end users (1) only as commercial items and (2) with only the same rights as
are granted to all other end users pursuant to the terms and conditions set forth in this Agreement.
Unpublished rights are reserved under the copyright laws of the United States.

9. General.
9.1 Waiver. No waiver of any violation or nonperformance of this Agreement in one instance shall be deemed
to be a waiver of any subsequent violation or nonperformance. All waivers must be in writing.
9.2 Severability. If any term or provision of this Agreement is to any extent held invalid, illegal, or unenforceable
by any court of competent jurisdiction, the remainder of this Agreement shall not be affected thereby, and each
term and provision of this Agreement shall be valid and enforced to the fullest extent permitted by law.
9.3 Notice. Any notice or report hereunder shall be deemed given if delivered or sent by first-class mail,
postage prepaid, addressed to the other party at that party’s current address, or at such other address as
designated by the party by written notice. If notice is given by mail and the notice affects other parties’ rights
hereunder, the effective date of the notice shall be seven (7) days after the date of mailing or the date the
notice is received, whichever is earlier.
9.4 Applicable Law; Disputes. This Agreement shall be governed by and construed in accordance with the
laws of the state of Utah without regard to the Utah conflict-of- laws principles. The parties expressly disclaim
the United Nations Convention on Contracts for the International Sale of Goods, and the provisions thereof
will not govern this Agreement. The parties agree that any claim asserted in any legal proceeding by one party
against the other shall be commenced and maintained exclusively in state or federal court located within Salt
Lake County, Utah. Both parties hereby submit to the jurisdiction of such courts over each of them personally
in connection with such litigation, and waive any objection to venue in such courts and any claim that such
forum is an inconvenient forum.
9.5 Injunctive and Other Equitable Relief. You agree that the remedy at law for any breach or threatened
breach of this Agreement by you would, by its nature, be inadequate, and that in such case Owner shall be
entitled, in addition to damages, to a restraining order, temporary and permanent injunctive relief, specific
performance, and other appropriate equitable relief, without showing or providing that any monetary damage
has been sustained.
9.6 Entire Agreement. This Agreement and Owner’s Statement of Limited Warranty are the entire agreement
between the parties with respect to the subject matter hereof. It supersedes all prior or contemporaneous
agreements, understandings, or representations with respect to the Licensed Products. This Agreement may
not be modified or amended except in writing signed by both parties. Any preprinted terms on your purchase
order are expressly rejected by Owner and shall be given no force or effect.
YOU HEREBY ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, UNDERSTAND IT AND
